By accessing or using SiteFlow ("Service," "Platform," "we," "us," or "our"), operated by Karma Miami Inc., you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

These Terms constitute a legally binding agreement between you and Karma Miami Inc. Your use of the Service is conditioned on your acceptance of and compliance with these Terms. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

SiteFlow is a Software-as-a-Service (SaaS) platform designed for contractors, construction professionals, and renovation specialists. Our Service provides:

• Client relationship management (CRM) tools
• Quote and estimate generation
• Project management capabilities
• AI-powered quote generation and assistance
• Material pricing reference databases
• Invoice and billing management
• Business analytics and reporting

The Service is provided as a tool to assist in business operations and is not intended to replace professional judgment, expert consultation, or thorough verification of all information.

You expressly acknowledge and agree that:

• AI Limitations: AI-generated content may contain errors, inaccuracies, omissions, or outdated information. AI systems can "hallucinate" or produce plausible-sounding but incorrect information.
• No Professional Advice: AI-generated content does not constitute professional, legal, financial, engineering, or construction advice. It should not be relied upon as a substitute for consultation with qualified professionals.
• Verification Required: You are solely responsible for independently verifying all AI-generated content, including pricing, material specifications, labor estimates, and any other information before using it for business decisions or presenting it to clients.
• No Guarantees: We make no representations or warranties regarding the accuracy, completeness, reliability, suitability, or availability of any AI-generated content.
• User Responsibility: You assume full responsibility for any actions taken based on AI-generated content and any consequences thereof.
• Regional Variations: AI recommendations may not account for local building codes, regulations, permit requirements, or regional pricing variations in your specific area.

You acknowledge and agree that:

• Estimates Only: All pricing information, material costs, labor rates, and project estimates provided through our Service are approximate estimates only and should not be relied upon as accurate or final figures.
• Market Fluctuations: Actual prices for materials, labor, and services vary significantly based on location, supplier, market conditions, availability, and other factors beyond our control. Prices can change without notice.
• Verification Obligation: You must verify all pricing information with actual suppliers, subcontractors, and service providers before presenting quotes to clients or making business decisions.
• No Binding Commitment: Prices displayed in our material database or generated by our AI do not represent offers to sell or purchase materials at those prices.
• Regional Differences: Our pricing data may not accurately reflect costs in your specific geographic area, which can vary substantially from national or regional averages.
• Your Quotes: Quotes you create using our Service are your own business documents. You are solely responsible for their accuracy and for honoring any commitments made to your clients.
• No Liability for Pricing Errors: SiteFlow shall not be liable for any losses, damages, or expenses arising from reliance on pricing information provided through the Service.

To the fullest extent permitted by applicable law, SiteFlow expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses or harmful components
• That the Service will meet your requirements or expectations

We do not warrant that defects will be corrected, that the Service will be available at any particular time or location, or that any content obtained through the Service will be accurate or reliable.

Under no circumstances shall SiteFlow, its officers, directors, employees, agents, affiliates, or licensors be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Business interruption or loss of business information
• Cost of procurement of substitute goods or services
• Any damages arising from your use or inability to use the Service
• Any damages arising from unauthorized access to or alteration of your data
• Any damages arising from reliance on AI-generated content or pricing estimates
• Any damages arising from errors in quotes or estimates created using the Service
• Any third-party conduct or content

MAXIMUM LIABILITY: In no event shall our total liability to you for all claims exceed the amount you have paid to SiteFlow in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if SiteFlow has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Karma Miami Inc., its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or proprietary rights
• Any claim that your use of the Service caused damage to a third party
• Quotes, estimates, or other documents you create using the Service
• Any disputes between you and your clients arising from your use of the Service
• Your reliance on AI-generated content or pricing information
• Any content you submit, post, or transmit through the Service

This indemnification obligation will survive the termination of these Terms and your use of the Service.

As a user of SiteFlow, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Verify all AI-generated content and pricing information before business use
• Comply with all applicable local, state, national, and international laws and regulations
• Obtain all necessary licenses, permits, and insurance for your contracting business
• Not rely solely on the Service for critical business decisions
• Maintain your own backup copies of important data
• Report any security breaches or unauthorized use of your account immediately

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading practices
• Create false, inflated, or misleading quotes or estimates
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without permission
• Transmit viruses, malware, or other harmful code
• Collect or harvest user data without consent
• Use the Service for any illegal or unauthorized purpose
• Resell, sublicense, or redistribute the Service without authorization

We reserve the right to terminate or suspend access to the Service immediately, without prior notice, for any violation of these prohibited uses.

Our Property: The Service, including its original content, features, functionality, design, and underlying technology, are and will remain the exclusive property of Karma Miami Inc. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain ownership of any content, data, or materials you submit to the Service. By submitting content, you grant us a limited, non-exclusive, royalty-free license to use, process, and display such content solely for the purpose of providing the Service.

AI-Generated Content: Content generated by AI within our Service may have limited or no copyright protection under applicable law. You use such content at your own risk.

Feedback: Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without compensation or attribution.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

Data Security: While we implement reasonable security measures, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security of your data.

California Residents: If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA). Please see our Privacy Policy for details.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Data Retention: Upon termination, we may delete your data in accordance with our data retention policies. You are responsible for exporting any data you wish to retain before termination.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

For material changes, we will make reasonable efforts to provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Service after any changes to the Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Miami, Florida.

Class Action Waiver: You agree to resolve any disputes on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.
